CIRCUIT, registered with the CNPJ under number 27.517.056 / 0001-74, with headquarters at Rua Coração de Maria, number 166/304, neighborhood Méier, in the city of Rio de Janeiro, State of RJ, CEP 20775-050, at this act duly represented in the form of its constitutive act, hereinafter referred to as CIRCUIT EDITORA and the USER, celebrate this TERMS OF USE (“TERMO”), which defines the conditions under which the USER may access and use the functionalities of the system called CIRCUIT CLICK / PLAY (the “Platform”), made available in a web environment with its use limited to the present licensing conditions.

1. Acceptance of the terms of use
1.1. In order to register, use the Platform's features, perform the Subscription and view the Channel Content, it is mandatory to read, understand and “Accept” this TERMS. When manifesting the "Acceptance", the USER expressly declares that he has read, understood and understood all the rights and obligations determined in the TERM, and also agrees and is subject to all the provisions of this instrument.

1.2. The use of the Platform, even if partial or as a test, indicates that the USER agrees with this TERMS.

1.3. This TERM may undergo periodic changes, whether due to legal or strategic issues of CIRCUITO EDITORA. The USER already agrees and acknowledges that it is his sole and entire responsibility to periodically check this TERM. CIRCUITO may, by mere liberality, inform the USER about significant changes in this TERM, through the disclosure of notices or information to the USER, sent through the e-mail registered by the USER on the Platform.

2. Definitions
2.1. For the purposes of this instrument, the words and expressions below have the following definitions, which can be used in the singular or plural:

2.1.1. “CIRCUITO CLICK / PLAY”: consists of a platform (“Platform”), developed and exclusively owned by CIRCUITO EDITORA, which has the use rights to carry out the distribution of diversified Content, being a channel of varied information, which can be used for various purposes by the USER;
2.1.2. “Channel”: exclusive space of CIRCUITO EDITORA, for making the Content available to the USER on the Platform;
2.1.3. "USER (S)": designates the individual, or legal entity, with full capacity to contract, who accesses the Platform and carries out their personal registration in order to take advantage of the features offered by it, thus automatically adhering to this TERM;
2.1.4. “Financial Data”: data related to the credit card, used by the USER to carry out the Channel Subscription, such as, credit card number, name printed on the card, expiration date, security code and flag;
2.1.5. “Content”: set of creations owned by CIRCUITO EDITORA, and its exclusive responsibility, which may include, without limitation, materials, videos, photographs, illustrations and other images, sounds, animations, three-dimensional works and other works that can be distributed ( with or without format conversion) on the Platform by CIRCUIT CLICK / PLAY to the USER, through the Channel;
2.1.6. “Collections”: Channel environment, in which the CIRCUITO CLICK / PLAY Content is allocated, for access and execution of the Subscription by the USER, separated by themes, at the discretion of CIRCUITO EDITORA;
2.1.7. "Personal Information": Platform environment in which the USER inserts his personal data, requested by CIRCUITO EDITORA;
2.1.8. “Financial Information”: data related to the credit card, used by the USER to carry out the Channel Subscription, such as, credit card number, name printed on the card, expiration date, security code and flag;
2.1.9. “Subscription”: an act whereby the USER acquires the right to watch the Content published in a Series, for the term, price and conditions predetermined by CIRCUITO ECITORA in its Channel.

3. Granting access to the Content
3.1. The CIRCUIT EDITOR, owner of the copyright of the Content, hereby and by the best form of right, authorizes the USER, by means of the Subscription, to access the Content published by him in the Channel, through the Platform, for the term and conditions determined by CIRCUITO EDITORA at the time of signature by the USER.

3.2. The USER declares himself fully responsible for the Personal Information and Financial Information inserted in the Platform, and it is his responsibility to keep his registration always updated, under penalty of the USER not receiving any and all information about the Platform, due to being with your outdated data.

3.3. The USER is not authorized to perform acts that aim to defame, stalk, bully, abuse, harass, threaten or intimidate the CLICK / PLAY CIRCUIT, due to information obtained through access to the Content.

4. Operation
4.1 General operation. The Platform consists of a tool for making digital content available by CIRCUITO EDITORA, on the Channel, which can be viewed by the USER, by means of the Content Subscription.

4.2 When accessing the Channel, more precisely the “News” tool, the USER will be able to view (i) the Content made available by CIRCUITO EDITORA the amount of news and videos available in each Series, the total content time published in the respective Collection and the conditions established for the execution of the Subscription.

4.2.1 The EDITOR CIRCUIT, when making each Content available, will define, at its sole and exclusive discretion, the number of materials and videos available in each Series, as well as the Subscription value.
4.3 If you want to subscribe to the Channel, in order to have access to the Content published by CIRCUITO EDITORA, the USER must perform his registration, through the tool “Register”, by providing Personal Information and Financial Information, being that he will be responsible for the accuracy and updating of the data informed in the register.

4.3.1 After filling in the personal data requested under the terms of item 4.3 and accepting this TERMS, the USER will be able to subscribe to the CIRCUIT CLICK / PLAY Channel.

5. Hiring Plans
5.1 The USER may carry out, at his discretion, the monthly, quarterly, half-yearly or annual subscription to the Channel, and the values, as well as the duration of access, in each of the modalities, will be detailed in the Channel and accessible to the USER at the time of Subscription.

5.1.1 Automatic Renewal of the contracted Plan. The USER hereby declares that he / she is aware that the subscription of the contracted plan in any of the modalities (monthly, quarterly, semiannual or annual) will be automatically renewed when the term of the plan expires, and the new charge related to the amount Subscription will be carried out automatically on your credit card until the renewed plan expires. If the USER is not interested in renewing the plan, he must cancel it on the Platform, before the renewal date of the plan.
5.1.2 Cancellation of the contracted Plan. The USER hereby declares that the cancellation of the plan subscription in any of the modalities (monthly, quarterly, half-yearly or annual), in accordance with Law 12.965 / 2014 (Marco Civil da Internet), will not result in reimbursement and / or return, by the EDITOR'S CIRCUIT, of the amounts already paid by the USER, with the exception of the hypothesis described in item 12.2.1.
5.1.2.1 The USER also declares to be aware that the cancellation and / or withdrawal of the monthly, quarterly, semi-annual and / or annual plans also do not allow the reversal, return or invalidation of the payment of future values ​​and that are part of the contracted plan . Therefore, in case of cancellation of the contracted plan during its term, the subscription fee will continue to be charged automatically to your credit card until the end of the term of the plan that has been canceled by the USER.
5.2 CIRCUITO EDITORA may change the subscription values ​​of the Channel. If CIRCUITO EDITORA changes the subscription fee, only new USERS will be affected.

5.3 The payment related to the Subscription described in item 5.1, will be made by the USER, on the Platform itself, via credit card or Bill of Collection.

5.3.1 The USER hereby declares that he / she is aware that CIRCUITO EDITORA does not have any type of responsibility, in case the credit card operation is not completed and / or approved by the card operator.

6. Technical Support
6.1 Technical Support is limited to serving the USER by CIRCUITO EDITORA, through the exchange of information, by e-mail, via the Platform, in the “Contact Us” tab, not being included in this service, on-site service or via telephone .

6.2 The Technical Support provided by CIRCUITO EDITORA does not cover the connection to the USER's internet, internal network and computers / mobile devices.

7. Improvements / Corrections / New Versions
7.1 The Platform may be improved, according to convenience and need, and there may even be a temporary suspension of services due to improvement. All modifications, improvements and corrections made to the Platform are incorporated into it and subject to this TERM.

7.2 The EDITOR CIRCUIT is allowed to accept the suggestions for improvements made by the USER, not assisting him, under any circumstances, any property right on such insertions or improvements.

8. Confidentiality and Privacy Policy
8.1 Each Party will treat the information brought to its attention by the other Party in a strictly confidential manner and will only use it in connection with the services now agreed.

8.2 Confidential Information means all the exclusive information of one of the Parties (Disclosing Party) disclosed to the other Party (Receiving Party), either verbally or in writing, which is indicated as confidential or which, by common sense, should be considered confidential in view of the nature of the information, especially in relation to the information provided by the USER at the time of registration, such as: name, age, e-mail etc., which will be used for the purposes of this TERM.

8.3 Each Party agrees to protect the confidentiality of the other Party's Confidential Information, just as it acts to protect the confidentiality of its own exclusive and confidential information of the same type.

8.4 Access to the information collected is restricted to persons authorized for this purpose. Any authorized persons who misuse the USER's Personal Information and Financial Information, in order not to respect the confidentiality and privacy policy, will be subject to applicable legal penalties.

8.5 USER information will be provided, when requested, through its own means, only by legal or judicial order.

9. Restrictions on the Use of the PLATFORM
9.1 This TERM is governed by the provisions of Law 9,609 / 98 and Law 9,610 / 98, with offenders subject to the penalties of the crimes provided for in art. 184 of the Penal Code, without prejudice to civil liability for damages eventually caused by the use and distribution of unauthorized copies of the Content or any other violation of the rights arising from its ownership.

9.2 Any procedure that implies (i) reverse engineering, decompilation, disassembly, translation, adaptation and / or modification of the Platform, or any other conduct that allows access to its source code, is prohibited; copy, assign, sublicense, sell, lease or guarantee, reproduce, donate, dispose of in any way, transfer totally or partially, under any modalities, free of charge or temporarily, temporarily or permanently, the Channel Content; and provide access to third parties by providing a registered password and user.

9.3 The Content is protected by copyright and intellectual property laws. The right to use the Content is licensed to the USER solely and exclusively for viewing on the Channel, therefore, there is no assignment of rights related to its ownership.

10. Limitation of liability
10.1 CIRCUITO EDITORA will not be held responsible for the results produced by the Platform, in case it is affected by some type of external program, such as those popularly known as viruses, or by operation failure or data corruption; any defect resulting from the exclusive fault of the USER; damages or losses resulting from administrative, managerial or commercial decisions taken based on the Content; problems in the USER's physical and logical network; any and all liability for possible losses and damages, loss of profits or emerging, the causes of which can be attributed, directly or indirectly, to the supply, use or performance of the Platform; and events defined in civil law as act of God or force majeure.

11. Term
11.1 This TERM is effective for an indefinite period, counting from the moment of the Channel Subscription and consequently accepting this TERM, pursuant to item 5.1.

12. Termination
12.1 By the CIRCUIT EDITOR:

12.1.1 This TERM may be terminated in advance by CIRCUITO EDITORA, at any time, by means of prior electronic communication to the USER, without any right to claim being granted to the USER.
12.1.2 In the case described in item 12.1.1, the USER will be fully refunded of the amount paid for the Subscription, in the respective month, by performing a chargeback on the credit card, within the terms and conditions established by the card operator.
12.1.3 The realization of said chargeback will be the sole responsibility and obligation of CIRCUITO EDITORA, which must carry out the procedure through the PLATFORM, being directly responsible to the USER about the fulfillment of this obligation.
12.1.4 For purchases made via Boleto, the chargeback is only completed when the user's bank details for deposit (full name, CPF, Bank, Agency with checking digit and checking account number with checking digit) are informed by CIRCUITO EDITORA on the Platform .
12.2 By the USER:

12.2.1 If the USER gives up the Subscription, within 07 (seven) days from the date of confirmation of the Subscription on the Platform and provided that he has not taken advantage of the contracted service, he must contact CIRCUITO EDITORA and forward email to the following electronic address "circuitorioeditora@gmail.com", requesting the cancellation of the Subscription and, if the purchase has been made in the boleto, also send your full name, CPF, Bank, Agency with checking digit and current account number with digit checker. The entirety of the amounts paid will be refunded to the USER, by making a refund on the credit card, within the terms and conditions established by the card operator; or, in the case of boleto, deposited in the checking account sent by email. The performance of said chargeback will be the sole responsibility and obligation of CIRCUITO EDITORA, which must carry out the procedure through the PLATFORM, being directly responsible to the USER regarding the fulfillment of this obligation.
12.2.2 If the USER does not wish to renew his subscription, he must cancel it on the user panel.
12.3 The USER declares that he / she is aware that, in case this TERM is terminated, regardless of the reason, it will automatically be unable to access the Channel and use the Platform, as well as to view the Content.

13. Final provisions
13.1 The tolerance of one Party with the other as to the breach of any of the obligations assumed in this TERM will not imply in novation or waiver of right. The tolerant Party may, at any time, require the other Party to faithfully and fully comply with this TERMS.

13.2 This TERMS bind the Parties and their successors in any capacity.

13.3 The unfeasibility of execution or invalidity, even if due to a judicial decision, of any clause, will not affect the validity of the other clauses of this TERM, which will remain valid and enforceable according to its terms.

13.4 The Parties elect the district court of the city of Rio de Janeiro, State of Rio de Janeiro, to settle any dispute arising from this TERM, expressly waiving any other, however privileged it may be.
